Terms of Service
These Terms of Service ("Terms") are a legal agreement between you and Kazmaros Pty Ltd (ABN 71 695 478 721) of Queensland, Australia, which operates Agenda ("Agenda", "we", "us" or "our"), governing your use of Agenda and the tools it provides (together, the "Service"). By using the Service you agree to these Terms. If you don't agree, please don't use the Service.
1. The Service
Agenda is a free, block-based day-by-day agenda app โ a scrolling timeline of day cards,
slash commands, to-dos, toggles, quotes, dividers, a standalone Notes box, .ics
calendar import and Google Calendar sync. By default it works entirely in your browser,
saving to your device's local storage with no account required. You can optionally sign in,
free of charge, to sync the same agenda across your devices. See our
Privacy Policy for exactly what that involves.
2. Eligibility
You must be at least 16 years old, or have the consent of a parent or legal guardian, to use the Service. By using the Service you represent that you meet this requirement and that you have the legal capacity to enter into these Terms.
3. Accounts and sign-in
Signing in doesn't use a password โ we email a one-time link to the address you provide, and clicking it signs you in. You're responsible for keeping access to that email account secure, since anyone who can read it can sign in as you. Provide accurate contact information, and let us know at the contact details below if you believe your account has been accessed without your permission. You can delete your account and all associated agenda content at any time from within the app.
4. Google Calendar integration
The Service optionally lets you connect a Google account to read and move/edit calendar events โ see our Privacy Policy for exactly what that requests and how the connection works. That integration is provided by Google, is subject to Google's own terms, and is entirely outside our control: we're not responsible for Google's availability, accuracy, or any change Google makes to its API or your account. You're responsible for complying with Google's own terms of service when you connect it.
5. Your content
You retain all ownership rights in the agenda content, text and other content you create
using the Service ("Your Content"), including anything copied in via
Google Calendar sync or .ics import. If you don't sign in, Your Content is
processed only on your own device and is never transmitted to or stored by us โ we simply
never have a copy of it. If you sign in, you grant us a limited licence to store, transmit
and display Your Content back to you, solely for the purpose of providing the sync feature
โ we don't use it for any other purpose (including training any model, advertising, or
showing it to anyone but you). You're solely responsible for Your Content and for keeping
your own backups (use the export feature in the app any time).
6. Acceptable use
You agree not to use the Service to:
- store, transmit or share content that is unlawful, defamatory, or that infringes another person's rights (including intellectual property or privacy rights);
- attempt to interfere with, disrupt, overload, reverse-engineer (beyond what's permitted by law), or gain unauthorised access to the Service, other users' accounts, or its underlying code or infrastructure;
- attempt to circumvent any rate limit, authentication mechanism, or other technical control on the Service; or
- use the Service in any way that breaches Australian law.
7. Intellectual property
The Service's website, design, text, graphics and underlying code (excluding Your Content) are owned by us or our licensors and protected by copyright and other intellectual property laws. You may use the Service for your own personal or business planning; you may not copy, reproduce, distribute or create derivative works from the Service itself without our permission, except as permitted by law.
8. No warranty
The Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including (to the extent permitted by law) any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted or error-free. Nothing in this section limits any consumer guarantee that cannot lawfully be excluded โ see section 9.
9. Limitation of liability
Nothing in these Terms excludes, restricts or modifies any guarantee, right or remedy conferred on you by the Australian Consumer Law (Schedule 2 to the Competition and Consumer Act 2010 (Cth)) or any other law that cannot lawfully be excluded, restricted or modified.
Subject to that, and to the maximum extent permitted by law: Agenda, its operator, and its officers, employees and contractors will not be liable to you for any indirect, special, incidental or consequential loss or damage, or for any loss of data, profits, revenue, business or goodwill, arising out of or in connection with your use of, or inability to use, the Service โ including any loss of agenda content, whether stored only on your device or synced to our database, and including anything arising from the Google Calendar integration described in section 4. We strongly recommend keeping your own backups using the app's export feature. Where liability cannot be excluded but can be limited, our total liability to you for all claims arising out of or in connection with the Service is limited to AUD $100, reflecting that the Service is provided free of charge.
10. Indemnity
To the extent permitted by law, you agree to indemnify and hold us harmless from any claim, loss, liability or expense (including reasonable legal costs) arising from Your Content, your breach of these Terms, or your misuse of the Service โ except to the extent caused by our own negligence or wilful misconduct.
11. Availability and changes to the Service
The Service is offered free of charge and "as available." We may modify, suspend or discontinue any part of the Service, or these Terms, at any time. Material changes to these Terms will update the "Last updated" date above; continued use of the Service after a change means you accept the updated Terms.
12. Suspension and termination
You can stop using the Service, and delete your account and its content, at any time. We may suspend or terminate access to the Service, including a signed-in account, for anyone we reasonably believe is misusing it or breaching these Terms.
13. Governing law and jurisdiction
These Terms are governed by the laws of Queensland, Australia, and you submit to the non-exclusive jurisdiction of the courts of Queensland and of the Commonwealth of Australia.
14. General
If any provision of these Terms is found unenforceable, the rest continue in full force. These Terms, together with our Privacy Policy, are the entire agreement between you and us about the Service and supersede any prior agreement on the subject. Our failure to enforce a provision isn't a waiver of it.
